I assist businesses seeking to outsource their in-house legal work from corporate secretarial formalities and cap table management to the handling of acquisitions, integrations, capital raises, divestments, and expansions.
Mergers & Acquisitions
I counsel clients seeking to acquire or sell a business in whole or in part, or exploring an entrance into or exit from a joint venture or strategic alliance. I assist with legal due diligence and contract negotiations and on the drafting of term sheets, confidentiality agreements and transaction agreements.
Private Equity
I counsel individuals, family offices and institutions with their investments into private equity funds and private investments including letters of intent, deal structuring, and closing. I counsel clients on alternatives for private equity fund and carry interest structures. I advise on investor subscriptions, deal structuring, deal financing and portfolio company investments, acquisitions, and dispositions.
International Transactions and Expansion
I advise clients on transactions and expansion outside the United States, particularly in Asia. I have substantial experience with Asian legal and regulatory regimes, and have a network of local counsel in China, Hong Kong, and other Asian countries who assist me in business transactions and commercial disputes. I am not however qualified as an attorney in any Asian jurisdiction and do not practice law in any Asian jurisdiction.
Corporate Finance and Venture Capital
I advise entrepreneurs and companies in structuring and raising debt and equity financings for early-stage stage, emerging and mature companies, including friends and family, angel, pre-seed, seed, and series preferred financings, convertible notes, SAFEs, venture debt, crowdfunding, and accelerator and incubator deals. I assist clients in negotiating secured and unsecured loan facility agreements with commercial lenders.
Shareholder and Commercial Disputes
I help investors and companies explore ways to resolve shareholder and commercial disputes with a goal of avoiding expensive litigation or arbitration.
